By using AVENOR, you agree to comply with these Terms and all applicable laws and regulations of India. If you do not agree with any part of these terms, you must not use our platform or services.
SECTION 2
Eligibility
Users must be at least 18 years old and legally capable of entering into contracts. By using AVENOR, you represent and warrant that you meet these eligibility requirements.
SECTION 3
Account Registration
Users must provide accurate, complete, and updated information during registration. You are responsible for maintaining the accuracy of your account information and updating it as necessary.
SECTION 4
Account Security
Users are responsible for maintaining the confidentiality of their login credentials. You agree to notify us immediately of any unauthorized access to or use of your account. AVENOR is not liable for any loss or damage arising from your failure to protect your account.
SECTION 5
Startup Applications
Startups must provide truthful and accurate business information. Any misrepresentation of traction, metrics, team composition, or market position may result in immediate rejection or termination. AVENOR reserves the right to verify all submitted information.
SECTION 6
Investor Applications
Investors must provide accurate investment-related information and credentials. Misrepresentation of investment capacity, fund size, or track record may result in immediate termination. AVENOR is not responsible for any investment decisions made based on platform information.
SECTION 7
AI-Generated Insights
AI-generated reports, analyses, and insights are informational only and do not constitute investment, legal, or financial advice. Users should conduct their own due diligence before making any investment or business decisions. AVENOR does not guarantee the accuracy or completeness of AI-generated content.
SECTION 8
No Investment Advice
AVENOR is not a SEBI-registered investment advisor, merchant banker, or broker. Nothing on the platform constitutes an offer to sell or a solicitation of an offer to buy any security. All investment decisions are solely the responsibility of the user.
SECTION 9
User Conduct
Users shall not engage in fraudulent, misleading, unlawful, abusive, or harmful activities on the platform. This includes, but is not limited to, impersonation, harassment, spamming, or any activity that disrupts the experience of other users.
SECTION 10
Prohibited Activities
Users shall not attempt unauthorized access, data scraping, hacking, reverse engineering, or disruption of services. Automated access to the platform (bots, crawlers, scrapers) without explicit written permission is strictly prohibited.
SECTION 11
Intellectual Property Rights
All trademarks, content, software, logos, designs, and platform materials belong to AVENOR or its licensors. Users may not copy, modify, distribute, or create derivative works without explicit written permission. The "AVENOR" name and logo are registered trademarks.
SECTION 12
User Content
Users retain ownership of submitted content but grant AVENOR a non-exclusive, worldwide, royalty-free license to use, store, and display it for platform operations. This license continues even after account termination for archival and legal compliance purposes.
SECTION 13
Data Verification
AVENOR may verify information submitted by users but is not obligated to do so. We reserve the right to request additional documentation or evidence to validate any claim made on the platform.
SECTION 14
Platform Availability
We do not guarantee uninterrupted or error-free access to the platform. Maintenance, upgrades, technical issues, or events beyond our control may cause temporary downtime. We will make reasonable efforts to notify users of scheduled maintenance.
SECTION 15
Third-Party Services
The platform may contain links or integrations with third-party services. AVENOR is not responsible for the content, privacy practices, or terms of these third parties. Your use of third-party services is at your own risk.
SECTION 16
Limitation of Liability
To the maximum extent permitted by law, AVENOR shall not be liable for investment losses, business decisions, indirect damages, consequential damages, lost profits, or any other damages arising from platform use. Our total liability shall not exceed the amount paid by you to use the platform in the preceding 12 months.
SECTION 17
Indemnification
Users agree to indemnify and hold harmless AVENOR, its founders, employees, and partners against any claims, damages, losses, or expenses arising from misuse of the platform, violation of these terms, or infringement of any third-party rights.
SECTION 18
Suspension and Termination
AVENOR reserves the right to suspend or terminate accounts violating these terms at any time, without prior notice. Upon termination, your access to the platform will be revoked, and we may delete your data in accordance with our privacy policy.
SECTION 19
Confidentiality
Users must not disclose confidential information obtained through the platform, including but not limited to proprietary startup metrics, investor strategies, or unreleased platform features. Breach of confidentiality may result in immediate termination and legal action.
SECTION 20
Anti-Fraud Policy
Any attempt to manipulate startup metrics, investor credentials, platform data, or artificially inflate engagement may result in immediate termination without refund and potential reporting to relevant authorities. We actively monitor for fraudulent patterns.
SECTION 21
Compliance with Laws
Users must comply with all applicable Indian laws and regulations, including but not limited to data protection laws, securities laws, and anti-money laundering regulations. International users are responsible for compliance with their local laws.
SECTION 22
Electronic Communications
Users consent to receiving communications electronically from AVENOR, including but not limited to emails, in-app notifications, and SMS. These communications may include transactional messages, updates, and promotional content (with opt-out options).
SECTION 23
Modification of Services
AVENOR may modify, suspend, or discontinue services without prior notice. We will make reasonable efforts to communicate significant changes to affected users, but we are not liable for any loss resulting from service modifications.
SECTION 24
Force Majeure
AVENOR shall not be liable for delays or failures caused by events beyond reasonable control, including but not limited to natural disasters, war, terrorism, cyberattacks, labor strikes, government actions, or internet outages.
SECTION 25
Governing Law
These Terms shall be governed by the laws of India, without regard to conflict of law principles. Any provisions inconsistent with Indian law shall be interpreted to the maximum extent permissible.
SECTION 26
Jurisdiction
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of courts in Patna, Bihar, India. Users waive any objections based on inconvenient forum or lack of personal jurisdiction.
SECTION 27
Dispute Resolution
Parties shall attempt amicable resolution through written communication before initiating legal proceedings. If resolution cannot be reached within thirty (30) days, either party may pursue legal remedies as permitted by law.
SECTION 28
Severability
If any provision of these Terms is found invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be reformed to the minimum extent necessary to make it enforceable.
SECTION 29
Entire Agreement
These Terms, together with the
Privacy Policy and any other legal notices published on the platform, constitute the complete and exclusive agreement between users and AVENOR. Any prior agreements, communications, or representations are superseded.
